All intellectual property rights, including but not limited to copyrights, trademarks, design rights, database rights, source code, system architecture, layouts, graphics, user interface (UI), user experience (UX), content structure, and related materials contained on this website are the exclusive property of The Archlab (Pvt) Ltd., unless expressly stated otherwise in writing.

The UI/UX design, website development, system configuration, and technical implementation of this website have been provided free of charge by Chathura Manilka under a binding five (5) year Design, Development, Service Bond, and Warranty Agreement with The Archlab (Pvt) Ltd., effective from the official launch date of the website.

The total development, design, and technical value of this website is assessed at
Sri Lankan Rupees Four Hundred and Ninety-Five Thousand Only (LKR 395,000.00).

  1. Bond Period, Warranty, and Exclusivity

During the five (5) year bond and warranty period:

  1. a) The website, including its design framework, system structure, databases, and underlying codebase, shall not be transferred, sold, assigned, licensed, sublicensed, reverse-engineered, duplicated, or made available to any third party without the prior written consent of the original developer.
  2. b) The Company shall not engage any third-party service provider to replicate, redesign, migrate, maintain, or substantially modify the website without written authorization from the original developer.
  3. c) Any major technical, structural, functional, or visual modifications shall require prior written approval from the original developer.
  4. d) The developer provides a five (5) year warranty covering:
  • Functional stability of the website
  • Correction of system errors, bugs, or defects originating from the original development
  • Compatibility issues arising from the original system architecture

This warranty applies only to the original development and does not cover issues caused by unauthorized modifications, third-party integrations, server mismanagement, hacking, malware, force majeure events, or misuse.

  1. Ownership and Usage Rights
  2. a) All original development materials, proprietary frameworks, custom modules, source code, and system configurations created by the developer shall remain the intellectual property of the developer during the bond and warranty period.
  3. b) The Company is granted a limited, non-exclusive, non-transferable, and revocable license to use the website solely for its internal business operations during the bond period.
  4. c) No implied transfer, assignment, sale, or waiver of intellectual property rights shall arise under this agreement.
  5. Post-Bond and Post-Warranty Rights

Upon expiration of the five (5) year bond and warranty period:

  1. a) Continued use, modification, redevelopment, ownership transfer, or migration of the website shall be subject to a separate written agreement between the parties.
  2. b) In the absence of a renewed agreement, the developer reserves the right to revoke usage rights and restrict access to proprietary frameworks, source code, or system components developed under this agreement.
  3. Confidentiality and Non-Disclosure

All technical documentation, system architecture, source code, credentials, access details, development methodologies, and proprietary information shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent.

This confidentiality obligation shall survive termination or expiration of this agreement.

  1. Breach and Remedies

Any unauthorized use, modification, duplication, distribution, sublicensing, disclosure, exploitation, or interference with the website or related intellectual property shall constitute a material breach of this agreement.

In the event of breach, the developer shall be entitled to:

  1. a) Immediate injunctive relief without the requirement of posting security;
    b) Monetary damages, including direct, indirect, incidental, and consequential losses;
    c) Full recovery of legal fees, court costs, and enforcement expenses;
    d) Suspension, restriction, or permanent termination of system access.
  2. Limitation of Waiver

Failure by the developer to enforce any provision of this agreement shall not constitute a waiver of the right to enforce such provision in the future.

  1. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

The parties hereby submit to the exclusive jurisdiction of the courts of Sri Lanka for the resolution of any disputes arising under or in connection with this agreement.
